English to French translations [PRO] Law/Patents - Business/Commerce (general) / Corporate/Legal/Company/Policy
English term or phrase:Related person
Context = several instances of conflicts of interest :
"Making decisions or being in a position to have direct authority or influence over the hiring, promotion, salary and financial and/or procurement decisions of a Related Person
Having a Related Person employed by an entity seeking to do or doing business with the XXXXX Group"
Eliza is not the one "splitting hairs" here. And I totally agree with her. So, "ultimately", it's rarely about the natural person. Your comment only indicates that you should take time to explore and learn about the concepts of conflicts of interest, control, influence and governance policies. You may start there: https://en.wikipedia.org/wiki/Conflict_of_interest.
if you really want to split hairs, even when legal persons are mentioned in the definition, these legal entities are of any interest as far "conflicts of interests" are concerned ONLY insofar specific natural persons are involved. So it's always ultimately about natural persons.
Even without seeing the contractual definition (thanks, Hugues), I wouldn't agree with the view that the reference to "being in a position to have direct authority or influence over the hiring, promotion, salary and financial and/or procurement decisions of a Related Person" means that a Related Person must be a natural person.
You could be in a position to influence the financial and/or procurement decisions of a company, for instance.
The laundry list of different types of decisions is linked by "and/or," so to me it just reads as a catch-all that covers everything, whether relating to legal persons/companies etc., or to natural persons/human beings.
Related Person for the Conflicts of Interest Policy: In relation to XXXXX Group Personnel: • A spouse, child, step-child, grandchild, parent, stepparent, grandparent, sibling, mother-in-law, father-inlaw, son-in-law, daughter-in-law, brother-in-law or sisterin-law, uncle, aunt, niece, nephew, cousin (including adoptive relationships) whether or not sharing the same household. • Business relationships in which you are a general partner, owner, or take management decisions • Trusts for which you are a trustee • Estates for which you are an executor • Close personal relationships • Any other person or entity whose transactions are directed by, or subject to, your influence or control

can for sure ALSO involve legal entities, and in this specific ST / this specific sentence "financial and/or procurement decisions" could involve both legal and natural persons, but it makes more sense if the beginning of the list ("hiring, promotion, salary") relates ONLY to natural persons, that then the rest of the list would also be about natural persons.
Without knowing what "definition of terms" are included in this contract, it's all anyway just educated guessing, nothing more.
is that the "person" is a natural / physical person.
Clue: the hiring, promotion, salary and financial and/or procurement decisions of a Related Person.
You don't give a "salary" to a legal / moral person.
As for the nature of the "relation" between the two persons that could create a potential conflict of interest, there MUST be some clues in the rest of the text, like in a section "definition of terms", it's too important to be left undefined / ambiguous.
Look at the contractual definition of "Related Person" (this term is capitalized, which tells you that the contract means something very specific by it and sets forth a definition for it in the definitions section). See what it means in the contract before proceeding to a translation.
