bonsoir, je traduis des statuts de société de l'italien au français, mais il y a un mot anglais qui me cause problème: il s'agit dans ce cas d'une clause de tag along/sortie conjointe : voici ma traduction :
Au cas où un associé ou un groupe d’associés (le « Tagged ») recevrait d’un Tiers Acquéreur une offre pour le Transfert de la totalité ou d’une partie de sa Participation représentant globalement une participation supérieure à 50,01% (cinquante virgule zero un pour cent) du capital social et, à son jugement sans appel, entendrait accepter cette offre, les autres associés, à condition qu’ils n’aient pas exercé leur droit de préemption selon les termes prescrits par la présent article 7 auront le droit de demander au Tagged que le Tiers Acquéreur acquière, au prorata, aussi sa Participation aux termes et conditions auxquels le Tagged entend transférer sa participation au Tiers Acquéreur

neutral  Germaine: Aussi morpionné en FR que ça l'est en IT. Le terme "défini" devrait désigner les minoritaires, ce qui exclut "un associé" détenant seul 50,01%. Et qui est "tagged along" sinon le(s) majoritaire(s)?

  -> however the use of "tagged" could be misleading/confusing, it seems pretty clear that ***in this ST*** il “Tagged” is the one or the group leading the transaction (the sale) as they have more than 50% of the capital.
