Der Garant übernimmt hiermit zur Absicherung der Zukünftigen Zahlungsverpflichtungen gegenüber der Bank in Form einer echten Zahlungsverpflichtung die uneingeschränkte und unwiderrufliche Verpflichtung, sicherzustellen, dass der Darlehensnehmer (und dieser Begriff soll auch bereits vor der Geplanten Verschmelzung stets die Gesellschaft einschließen) stets in der Weise finanziell ausgestattet wird, dass er jederzeit in der Lage ist, allen Zahlungsverpflichtungen fristgemäß, vollständig und endgültig nachzukommen, die sich aus oder im Zusammenhang mit den Zukünftigen Zahlungsverpflichtungen ergeben, und dass die von ihm zur Verfügung gestellten Mittel zur Erfüllung der Zukünftigen Zahlungsverpflichtungen verwendet werden und die auf die Zukünftigen Zahlungsverpflichtungen gezahlten Beträge unter allen Umständen (z. B. auch im Falle einer Anfechtung nach §§ 129 ff Insolvenzordnung) endgültig bei dem jeweiligen Gläubiger verbleiben, insbesondere auch im Falle der Eröffnung eines Insolvenzverfahrens über das Vermögen des Darlehensnehmers (die „Ausstattungsverpflichtung“).
