Mely létrejött egyrészről XX (Regiszter száma: XX, A céget képviseli, meghatalmazott aláíró: XX, másrészről,
YY,
(született: YY, anyja neve: YY, Lakcíme: YY, útlevélszáma: YY)
együttesen Felek, között a mai napon az alábbi feltételekkel:
1./XX kijelenti, hogy a tulajdonát képezi XX, melyet fedezetként kölcsönhöz átad olyan Befektetőnek, amelyik a hivatalos dokumentumokban jelzett érték 8%-át részére kölcsönként szerződés alapján kihelyezi.
2./ YY vállalja az 1. pontban leírt termékre megfelelő Befektetőt biztosít, olyan feltétellel, hogy a kihelyezett kölcsön 8%-ból 4 %-ot (a kihelyezett összeg 50%-át) a XX átengedi YY javára, saját projektjei megvalósítására.
3./ A Felek megállapodnak abban, hogy ezen szerződés a XX és a majdani Befektető cég között létrejövő szerződés elválaszthatatlan részét képezi, és a kölcsön folyósítása ennek megfelelően a Felek részére egyenlő arányban kerül átutalásra, melyhez XX hozzájárul, és ez a tény a generálszerződésben rögzítésre kerül.
4./ Felek megállapodnak abban, hogy az átutalt kölcsön összegének, és annak kamatainak visszafizetéséért külön-külön felelnek, és a Befektetővel közvetlen számolnak el.
6./ A kölcsön visszafizetésének módját a XX és a Befektető közötti generálszerződés szabályozza, mely kötelező érvényű YY részére is, ezért a generál szerződés 1 másolati példányát XX átad YY részére az aláírással egy időben.
7./ Felek megállapodnak abban, hogy a jelen, illetve a generálszerződésben foglaltakat illetően teljes titoktartásra kötelezik magukat.
8./ Felek kijelentik, hogy jelen szerződést elolvasták, értelmezték, és mint akaratukkal egyezőt jóváhagyólag írták alá.
Translation - English Cooperation Agreement
Which was concluded by and between XX (Register Number: XX, The company is represented by its authorized signatory: XX, and,
hereinafter jointly referred to as Parties, today, with the following terms and conditions:
1./ XX declares that he is the owner of XX, which will be transferred as collateral for a loan to an Investor that can collateralize 8% of its value recorded in the official documents for him as a loan, as per contract.
2. / YY undertakes to provide an appropriate Investor for the product described in Section 1, on condition that XX passes on 4% out of the 8% of the outward loan (50% of the outward amount) for the benefit of YY, for the realization of his own projects.
3./ Parties agree that this Agreement forms an integral part of the agreement to be established between XX and the future Investment company, and the loan will be granted accordingly to the Parties in equal share, with the agreement of XX, and this fact will be recorded in the general agreement.
4./ Parties agree that they will be liable for the repayment of the amount of the transferred loan and its interest separately, and they settle accounts directly with the Investor.
6./ The method of repayment of the loan is regulated by the general agreement between XX and the Investor, which is legally binding for YY too, so one copy of the general agreement shall be transferred to YY by XX concurrently to the execution.
7./ Parties agree that for the present Agreement, as well as those relating to the general agreement, they commit themselves to absolute secrecy.
8./ Parties declare that having read and interpreted the Agreement, they signed this Agreement as being in full compliance with their contractual will.
