Source text - Chinese “贷款基础利率”（Loan Prime Rate，简称LPR）开始发布，标志利率市场化改革又进一步。
“贷款基础利率”是一个市场利率，与政府管控的“贷款基准利率”有本质不同。且因为涵盖对象不同，二者在数值上也不可比。它的发布意味着“贷款基准利率”这一货币政策工具将逐步退出历史舞台，并会为宏观分析者提供一个观察实体经济资金供求状况的直接指标。
“贷款基础利率”是否真的能够如央行所声称的那样成为一个市场利率，而不是像人民币汇率中间价那样成为一个名为市场、实为官定的价格指标，还需进一步观察。
“贷款基础利率”的推出是利率市场化改革的又一进步，但在短期内不会对金融市场带来明显影响，更不包含任何加息和降息的意味。
Translation - English The launch of LPR (Loan Prime Rate) marks interest rate liberalization is pushed forward one step further.
LPR represents a market rate and differs from state-controlled “benchmark lending rate” in nature. As both indicators target different audiences, they are non-comparable to each other even in terms of numeric value. The publishing of LPR signals that “benchmark lending rate”, as a monetary policy instrument, will be soon replaced, and LPR, for instead, will be viewed as a metrics to guide macro-economy analysts to directly measure fund supply-demand profile of the real economy.
It remains unclear whether LPR will evolve into a market rate as the central bank alleged, rather than a nominally market-oriented but virtually state-controlled price guide, as is Renminbi central parity rate index.
The launch of LPR marks a break-through of interest rate liberalization program, but in the short run it will not bring material impacts on financial market, nor does it imply interest rate hikes or cuts.

Source text - English 4. REPRESENTATIONS, WARRANTIES AND COVENANTS
4.1 Party B represents, warrants and covenants to ABC that:
a) it shall, and it shall procure that its personnel shall, comply with PRC Law in performing its obligations under the Agreement;
b) it is a company duly organised and validly existing under PRC Law with full legal power, right, and authority to enter into this Agreement and all of the contracts and documents referred to in this Agreement to which it is a party and to observe and perform its obligations hereunder and thereunder;
c) it has taken all appropriate and necessary corporate action to authorise the execution and delivery of the Agreement and all of the contracts and documents referred to in the Agreement to which it is a party and to authorise the performance and observance of the terms and conditions of this Agreement and those contracts and documents;
d) its entry into the Agreement and performance of its obligations under the Agreement will not violate or conflict with, or exceed any limit imposed by (i) PRC Law, (ii) its memorandum and articles of association or other applicable constitutional documents or (iii) any other document, instrument, undertaking or obligation binding upon it;
e) it shall at all times exercise due skill, care, diligence and prudence in the conduct of its activities under the Agreement to best market standards and shall at all times conduct such activities in compliance with PRC Law;
f) it shall at all times ensure that the systems operated by it, and any connectivity such systems have with CSDCC, SHSE and SZSE or the systems operated by or under the control of CSDCC, SHSE and SZSE, for the purposes of performing its obligations under the Agreement conform to, and are in compliance with, PRC Law;
g) it has duly obtained all approvals, permits, licenses and other authorizations from CSRC, SAFE and as required under other any applicable PRC Laws to enable it lawfully to enter into, exercise its rights under and comply with its obligations in this Agreement;
h) no gratuities in the form of entertainment, gifts, or otherwise were offered or given by Party B, or any agent or representative of Party B, to any officer, fiduciary, advisor, or employee of ABC or the Province of XXX with a view toward securing this Agreement or securing favourable treatment with respect to this Agreement. Party B covenants that no such gratuities will be given to any such person with a view towards securing favourable treatment with respect to the making of any determination with respect to the performance, termination and/or continuation of this Agreement;
i) to the best of its knowledge no employee of ABC or fiduciary whose position in ABC enables such person to influence the award of this Agreement, and no spouse or economic dependent of such person is or will be employed in any capacity by Party B herein, unless Party B has provided ABC with written notice of such person’s employment with Party B prior to the execution of this Agreement or, if such employment with Party B commences after the execution of this Agreement, promptly after such commencement of employment;
j) it will advise ABC in a timely manner of any material change in its registration or licensing status. Party B will promptly advise ABC of any investigation of, or disciplinary action against, Party B by any regulatory authority or body which, in either case, would reasonably be expected to have a material impact on the management of the Assets, or any court action against Party B alleging a violation of any broker duties or responsibilities. Party B will promptly advise ABC in the event of any material change in the control or corporate form of Party B;
k) except as otherwise required by applicable PRC Law or contract, or by order of a court or regulatory authority, Party B shall promptly notify ABC in writing of any complaints or disciplinary actions filed against it of which Party B is aware, or against any professional employed by it who has performed any service with respect to ABC’s account in the 24 preceding months, by any department, agency or body which has regulatory or any other authority over Party B.
Translation - Chinese 4. 声明，保证与承诺
4.1 乙方特此向ABC声明、保证及承诺如下：
a) 在履行本协议项下的责任义务时，乙方保证，并代表其机构人员保证，将遵循中国法律规定。
b) 乙方是依据中国法律正式成立并有效存续的公司，在法律上具有完整的法律权力、权利及权限，作为合约当事方签署本协议，以及本协议项下所有合同及文件，遵守并履行协议及合约项下所有义务。
c) 乙方已采取一切适当和必要的公司行动，授权签署和交付本协议及本协议中提及的乙方作为当事一方的所有合约及文件，并授权履行和遵守本协议及该等合约及协议的条款及条件。
d) 乙方订立本协议并履行协议项下义务时，乙方不会违反以下相关法律法规的规定、或与相关条款抵触、或超出规定的限制：（1）中国法律；（2）备忘录及公司章程，或其它章程性文件；（3）对乙方有约束力的其它任何文件、工具、承诺或义务。
e) 乙方在从事协议项下相应活动时，应具备一定程度的技能、尽职、努力及审慎，以期达到最佳市场标准，且应始终遵守中国法律。
f) 乙方应始终保证其所操作使用的系统，这些系统与中债登、上交所、深交所的连接，或由中债登、上交所及深交所操作且控制以履行协议项下义务的所有系统操作，均应遵守并满足中国法律要求。
g) 乙方获取所有必要的批复、许可、授权，以及其它适用中国法律要求的由证监会/外管局颁发的其它授权，用以有效订立本协议，行使协议项下权利并履行协议项下义务。
h) 乙方，或任何代理人或乙方代表，不会为了确保本协议的订立或获取协议项下优惠待遇，而以娱乐、礼品或其它形式赠送礼品给任何高管人员、受托人、顾问、ABC或XXX省的雇员。乙方承诺不会为了协议履行、中止和/或延续的相关决定争取优惠待遇而向任何人员赠送礼品。
i) 据乙方所知，除非乙方在本协议执行之前给ABC 书面通知，否则任何其职位足以影响协议签署的ABC雇员或受托人、其配偶或家属，乙方现在和以后都不会以任何职位雇用上述任何人。如果上述人员的雇用是在乙方开始执行本协议之后，则一俟雇用关系开始，乙方会即刻通知ABC。
j) 乙方注册及许可状态如有重大变更，应及时通知ABC。如任何监管机构或当局将对乙方进行检查或施加惩罚措施，这些检查或惩罚措施足以对乙方资产管理造成重大影响的，或乙方被指控违反经纪职责而遭遇诉讼，乙方会及时告知ABC。乙方公司形态或控股形式发生重大变更的，应即刻通知ABC。
k) 除非适用中国法律或合约另有规定，法庭另有裁定或监管当局另有指令， 那么，任何对乙方具有监管或其它任何权限的行政机构或部门，对乙方或对乙方所雇佣的专业人员（如果该专业人员在过去12个月内的服务内容曾涉及ABC 账户）提出的任何投诉或惩戒处分，乙方应即刻以书面形式告知ABC。
