"The requirement for UK listed companies to maintain ***INSIDER*** lists was introduced as part of the implementation of the Market Abuse Directive. The requirement is contained in the Disclosure Rules Sourcebook (the “Disclosure Rules”) of the Financial Services Authority made under the Market Abuse (Disclosure Rules) Instrument 2005.
In summary, the Company is required to keep a list (the “Company Insider List”) of those with access to inside information concerning the Company. Separately, the Company must require external firms or companies acting for the Company (“Advisers”) to keep a detailed list (“Adviser Insider List”) of the individuals within their organisations who have access to the Company’s inside information."
