in Spain, generally translated as "approve the Board's conduct of business in the previous year". Essentially the Shareholders' Meeting gives the Board a blanket approval of what it did the previous year, thus relieving it from liability. "Censurar" does not imply criticism in this context, and it has nothing to do with "auditing"
