Agradecimiento y explicación. Queridos colegas, ustedes se esforzaron tanto como yo para encontrar el término que necesitaba y, junto con agradecerles, quisiera explicar por qué elegí la respuesta de enovesky.


El cliente me envió un documento antiguo, de su propia autoría (que no traduje yo, por supuesto), donde dice lo siguiente:

The purpose of this article is to lay down the basic rules for mergers and acquisitions proper, rather than other forms used to achieve similar objectives in Guatemala. Although it is risky to refer to any established practices, for the reasons mentioned above, there are a few aspects that shall be discussed within the context of these general rules.


The regulation of mergers and acquisitions.
According with Article 256 of the Code of Commerce various corporations (sociedades) may merge either: (1) by the creation of a new corporation and the dissolution of all the previously existing ones, that become integrated in the new corporation; or (2) when one corporation “absorbs” other corporations that become dissolved. For the purposes of this article we call the former a “merger”, and the latter, an “acquisition”.

Please read the whole question, guys. I am looking for a term that responds to this definition: "varias sociedades se fusionan en una sola y desaparecen todas sin excepción," as opposed to absorption, where one company survives and absorbs all others.

consolidation / amalgamation

Consolidation or amalgamation is the act of merging many things into one. In business, it often refers to the mergers or acquisitions of many smaller companies into much larger ones. The financial accounting term of consolidation refers to the aggregated financial statements of a group company as consolidated account. The taxation term of consolidation refers to the treatment of a group of companies and other entities as one entity for tax purposes

Amalgamation: Means an existing Company which is taken over by another existing company. In such course of amalgamation, the consideration may be paid in cash or in Kind, and the purchasing company services in this process.

Amalgamation is the term used in British English, whereas consolidation is widely used in American English

Y para "absorción", yo diría "merger by acquisition"

merger: (inglés) Fusión de dos o más empresas en la cual una sobrevive y otra (u otras) pierde su identidad. Dicho de otra forma, es la absorción, por parte de una empresa comercial, de los activos y pasivos de otra u otras empresas, las cuales se disuelven.
