Ställa till förfogande

Swedish to English Law/Patents Business/Commerce (general) Shareholder agreement
These are provisions regulating the obligations of shareholders in a company's start-up:


X skall senast den 1 december 2011 ställa Y till Bolagets förfogande och förbinder sig mot den ersättning som X och Bolaget må enas om, att ansvara för och driva Bolagets dagliga verksamhet, varvid Y bl.a. skall ombesörja följande uppgifter.
- Bolagets operativa verksamhet
- Ställa Y till förfogande som Bolagets verkställande direktör

It has been a long day and I cannot see who is doing what here.

It all seems to come back to "ställa till förfogande" in the final line, which has thrown me since I've never come across the phrase in THIS way.

Y's assignments are, inter alia, "to place Y (himself) at the disposal of the Company in the role as MD?.

Then X is merely appointing Y, going to agree on Y's compensation, and Y is undertaking the rest as his future obligations?

Chris, that is precisely the point of my question! I know what the literal translation says, but in the context of the paragraph I cannot make head or tail of it. The agreement is between X & A, who are the shareholders of the new company under formation. Y is merely to be appointed as its MD, as he plays no major role in the body of the agreement - other than as MD. X is the major shareholder with 80% and A is the minor shareholder with the remainder & is the financial backer. I hope that has cast more light on this conundrum.

Bad Swedish I think they've muddled up X and Y. It makes more sense to me with "varvid X bl a skall". What do you reckon?
