* "Company Insider" means directors of the Company and certain management-level and above officers and employees.
* Company Insiders are subject to additional restrictions on the timing of their purchase or sale of Company stock. Such personnel will be advised of the additional restrictions that apply to them.
* In addition to the Company's right to require any Employee to re-certify or confirm compliance with this Code from time to time, Company Insiders are required to promptly, fully, and truthfully respond to inquiries (which may be in written form) from the Company's Compliance Officer with regard to compliance with this Code, including, without limitation, with respect to involvement in related party transactions and other actual or potential conflicts of interest.
