English to Russian Law/Patents Finance (general) loan agreement

To the extent that Debtor (or any of them) fails or refuses to take any such act or to execute and deliver to Lender any such document, instrument or agreement within five (5) business days from Lender's written request therefor, Debtor (and each of them) hereby irrevocably appoints Lender as Debtor's (and each of their) attomey-in-fact, to take such acts and to execute and deliver such documents, instruments and agreements on Debtor's behalf and in Debtor's names and stead.

The foregoing appointment is ***a power coupled with an interest***, with full rights of substitution and delegation.
