Spanish term

prestación accionaria

Spanish to English Law/Patents Law: Contract(s) acta constitutiva/México
Any thoughts on "prestación accionaria" (which returns no results in Google) here?

("órganos de administrar" refers to what is more commonly known as "órganos de administración", I assume.)

Perhaps "prestación accionaria" should be "participación accionaria"...

Discussion

Robert Carter Oct 15, 2019:
Yes, I think that covers what was intended, plus it it cuts down that sentence you had in mind quite a bit :-)
Joshua Parker (asker) Oct 15, 2019:
@Robert Took another look at this this morning as I was proofing before delivery and the more I look at it, the more I'm inclined toward your suggestion, i.e. "prestación" in the sense of "benefit".
I think I'm going to go with:
"...while able to exercise the power to appoint governing bodies, subject to shareholder rights."
Joshua Parker (asker) Oct 14, 2019:
Ah, yes, I see what you mean. I think it would still be covered by "(as permitted by its) equity contribution", though, since whether it's common or preferred, or voting or nonvoting, stock, it all entails an "equity contribution" even if the privileges/rights are not necessarily associated with the amount contributed.

That said, on that basis, perhaps the way to go is something like "as permitted by the rights/privileges entailed/conferred by its (the company's) equity contribution/stock ownership..."? Which I think would be as vague/broad as the original seems to be...
Robert Carter Oct 14, 2019:
@Joshua Thanks, no worries, it often happens. However, I do think that I was trying to point to a slightly different aspect than "contribution", in that sometimes, different classes of shareholders have different "privileges", but it's not necessarily to do with the amount of their contributions. I'm thinking of the difference between "common stock" and "preferred stock" for example, or between voting and non-voting shares. Saludos!

equity contribution

not too far off 'participación accionaria' as an quioty interest (West).

The weasel-word of prestación can often mean an obligation in a share-/stock-holding scenario - see John R's and Rebecca J's ProZ answers.

My first reaction in fact was a typo for a prestación accesoria > an ancillary obligation.

Suggested interpretation of la facultad de designar los órganos de administrar que permita **la prestación accionaria** de los mismos > the power to appoint such governing (executive) bodies as is allowed by the equity contribution made by the same (permita is singular).

However, if permita in its turn is a typo for permitan, it could refer right back to the 'securitis/zation' (collaterallis/zation) of the títulos de crédito as credit instruments (AMM) or negotiable instruments (West).

quioty interest > equity interest
Example sentence:

The shareholders' dividends shall always be paid out pro rata to the contributions made - in relation to the proportionate amount of share capital relating to each share - and in proportion to the time that has passed since the date which is decisive ...

Note from asker:
Yes, I noticed the potential "permita(n)" problem too - but I think "permita" was indeed what was intended here.

4 KudoZ points awarded for this answer. Comment: "Both answers were great and pointed to the same idea - given the context, I think it is, essentially, the same as "participación accionaria" here. Your suggestion was easier to work into my sentence, but both answers are equally valid, in my opinion. Shame the points can't be split. Thanks!"

shareholder rights/privileges

I think it just means the "benefit" of ownership, i.e., "depending on the rights [or privileges] the shares afford to their holders", so you can word that any way you see fit.

Common Shareholders’ Main Rights
Voting Power on Major Issues. Voting power includes electing directors and proposals for fundamental changes affecting the company such as mergers or liquidation. Voting takes place at the company’s annual meeting.

"...pudiendo ejercitar la facultad de designar los órganos de administrar que permita **la prestación accionaria** de los mismos."

"...with the power to appoint the governing bodies, depending on the rights afforded by the ownership/shareholding structure"

"...with the power to appoint the governing bodies in accordance with the rights, depending on their shareholder rights"
