Discussion
(a) If, at any time before the repayment of each Tranche under Facility C in accordance with Article 5.1 .B, the Borrower receives any portion of the PIE Transfer Compensation Amount from the Offtaker pursuant to the PPA, it shall shall promptly inform the Bank thereof and pro tanto the amount of such PIE Transfer Compensation Amount. At any time thereafter, the Bank may, by notice to the Borrower, demand prepayment of the Loan Outstanding under Facility C, together with accrued interest and all other amounts accrued or outstanding under this Contract in relation to Facility C.
“PIF Transfer Compensation Amount” has the meaning given to this term in the CTA.
