9. Liability
To the fullest extent permitted by law, the total cumulative liability of the Consultant to the Client and the Reliant Parties in aggregate under or in connection with this Agreement whether in contract, tort, breach of statutory duty or otherwise shall be limited to five times the total Fees or $1,000,000, whichever is the lowest, except to the extent that such liability was caused by willful misconduct or fraud on the part of the Consultant. In this Agreement, "willful misconduct" means any act or omission of the Consultant done recklessly and with knowledge that damage and loss would probably result. For the avoidance of doubt, the total limitation in liability relates to the cumulative total of all claims whether brought by the Client under this Agreement or any or all of the Reliant Parties as if the Reliant Parties were a party of the Agreement.
