A Power of Attorney is a document which gives authority to a person to act as agent or attorney for another person. It can be seen as an authorization to a Donee (the person being given the power/instructions) to do certain acts on behalf of the Donor (the person donating/giving the power).

Proxy notice:
A Proxy Notice is a written authorization granted by a shareholder of a company to a third party (the proxy) to act on the shareholder's behalf at an Annual General Meeting
