Текст оригинала - английский Net Turnover shall be understood as the total income for goods and services and any business undertaken at the Premises.
Notwithstanding anything to the contrary contained in this Letter of Intent or future Lease, “NET turnover ” shall not include: (a) the exchange of merchandise between stores or warehouses of Tenant where such exchanges are made solely for the convenient operation of Tenant’s business and not for the purpose of consummating a sale which has therefore been made at, in, on or from the Premises and/or for the purpose of depriving the Landlord of the benefit of a sale which otherwise would have been made at, in, on or from the Premises; (b) returns to shippers or manufacturers; (c) sales of merchandise subsequently returned for refund or credit; (d) accommodation sales or transfers to other retailers, manufacturers, vendors or suppliers which are made at cost; (f) any and all taxes (whether now or hereafter imposed by any authority having jurisdiction) levied upon, assessed against or measured by the receipt or purchase of merchandise by Tenant, any so-called value added tax, and any and all occupational sales taxes and other taxes levied upon, assessed against, based upon or measured by (i) Tenant’s gross receipts, or any part thereof, or (ii) the sale or sales price of merchandise or services, or either, and which shall be payable by Tenant, whether or not collected by Tenant from its customers as reimbursement or as agent of the taxing authority, and whether or not the same shall be commonly known as a sales tax, use tax, retailer’s occupational tax, gross receipts tax or excise tax; (e) receipts from public telephones and vending machines which do not dispense footwear, apparel or accessories; (f) gift certificates until treated as a sale from the Premises pursuant to Tenant’s bookkeeping system; (g) sales of fixtures and other property not a part of Tenant’s inventory; (h) bulk sales not in the ordinary course of business and wholesale transfers of merchandise; (i) amounts and/or credits received in settlement of claims for loss of or damage to merchandise; and (j) sales that originate from any internet terminal at the Premises shall be excluded from the Turnover but goods which are supplied from the Premises in relation to internet orders placed either at the Premises or elsewhere shall be included in Turnover; (k) sales of merchandise at a discount to employees of XXX Limited or any of the XXX Group companies; for the avoidance of doubt sales of merchandise which are made at discount to employees of the Tenant shall be included in the NET turnover at the final price sold to the employees; (l) bad debts on credit sales and bad checks.

Без учета каких-либо положений настоящего Письма о намерениях или планируемого Договора об аренде, предусматривающих иное, «Чистый оборот» не включает в себя: (a) обмен товаров между магазинами или складами Арендатора, если такой обмен имеет целью исключительно удобство ведения деятельности Арендатора и не имеет целью осуществление продажи в Помещении и/или лишение Арендодателя выгод от продажи, которая иначе была бы осуществлена в Помещении; (b) возврат товаров поставщикам или производителям; (c) продажу товаров, впоследствии возвращенных в целях зачисления на счет или получения обратно средств, уплаченных за товар; (d) осуществление льготной продажи или передачи по себестоимости другим розничным магазинам, производителям, поставщикам или подрядчикам; (f) любые налоги, начисленные или причитающиеся (независимо от того начислены они в настоящий момент или впоследствии любым органом, имеющим юрисдикцию) в отношении получения или приобретения товаров Арендатором, любой так называемый «налог на добавленную стоимость», а также любые профессиональные налоги с продаж и иные налоги, начисленные или основанные на: (i) валовой выручке Арендатора или любой ее части, или (ii) цене продажи товаров или услуг, и подлежащие оплате Арендатором, независимо от факта получения Арендатором таких налогов от своих клиентов в качестве возмещения или в рамках осуществления функций налогового агента, а также независимо от того, являются ли вышеуказанные налоги в общепризнанном смысле налогом с продаж, налогом на пользование, профессиональным налогом на розничные предприятия, налогом на валовой оборот или акцизом или нет; (e) средства, полученные от эксплуатации общественных телефонов или торговых автоматов, не осуществляющих продажу обуви, одежды или аксессуаров; (f) подарочные сертификаты до их учета в качестве продажи в Помещении в бухгалтерской системе Арендатора; (g) продажу движимого имущества или иного имущества, не включенного в товарно-материальные запасы Арендатора; (h) продажу всего товарного запаса, осуществленную вне рамок обычной деятельности, или оптовую передачу товаров; (i) суммы и/или поступления, полученные в урегулирование претензий об утрате товаров или причинении порчи товарам; а также (j) продажи, инициированные из любого Интернет-терминала на территории Помещения, не включаются в Чистый оборот, однако товары, поставка которых осуществлена с территории Помещения по заказам, размещенным через Интернет на территории Помещения или в ином месте, подлежат включению в Оборот; (k) продажу товаров со скидкой работникам компании ХХХ или какой-либо компании, входящий в группу ХХХ; во избежание сомнений, продажи товаров со скидкой работникам Арендатора подлежат включению в Чистый оборот по окончательной цене, по которой данные товары были проданы работникам; а также (l) безнадежные долги по продажам в кредит и чеки без покрытия.

I have been active in legal and financial translations for over 10 years now, since 2005. Most of the time I work for leading international and Russian law firms, which consult clients in all industries on a wide range of legal matters. For over 10 years of such cooperation I have mastered translations of virtually all types of legal and financial documents. During this time, I have translated around 6 million words of legal and financial texts.
My overall work record goes to 18 years, most of which I worked as an employee at leading law firms (White & Case LLC, Latham & Watkins LLP and Pepeliaev Group LLC), where I worked not only as a translator and interpreter but also at senior positions in accounting, finances and taxes. This experience helps me a lot in translating financial documents.
I am a member of the International Association of Professional Interpreters and Translators (IAPTI), which is an additional guarantee of my credibility.
I am registered as Individual Entrepreneur (sole trader). This means that your company, if registered in Russia, will not have to pay any taxes on my fees.
In 2001 I graduated with honours from the Moscow State Linguistic University specialising in Economics with the knowledge of English and German languages. I spent an academic year in the USA as an exchange student. I learned Spanish myself and received a diploma in Spanish (B2 level) from the Institute of Cervantes in Moscow.
In my work I strive, first and foremost, to translate accurately the meaning of the document while avoiding literal translations. The finished document should be clear for the reader and sound naturally. I always check my translations at least twice to reduce the possibility of a mistake or inaccuracy. I strictly follow the deadlines agreed with the client and maintain confidentiality of all the information and documents received from the client. I am an advanced PC user and can format a document easily to match the original.
