Source text - English • Economic Emergency Law. On December 21, 2019 the Congress passed into law the draft bill of a new economic emergency law, called “Ley de Solidaridad Social y Reactivación Productiva en el marco de la Emergencia Pública” (the “Economic Emergency Law”), sent by President Fernández to Congress. The Economic Emergency Law declares the public emergency on economic, financial, administrative, fiscal, health and social matters until December 31, 2020. Among other provisions, it creates new taxes, increases export duties, suspended the increases of electricity and natural gas tariffs, and delegates broad powers to the Executive Branch, with the double objective of increasing social spending and obtaining a relief in the Argentine public debt.
Translation - Spanish • Ley de Emergencia Económica. El 21 de diciembre de 2019, el Congreso convirtió en ley el proyecto de una nueva ley de emergencia económica, llamada “Ley de Solidaridad Social y Reactivación Productiva en el marco de la Emergencia Pública” (“Ley de Emergencia Económica”), enviada por el Presidente Fernández al Congreso. Consecuentemente, propone el representante del accionista xxxx que el artículo decimoséptimo quede redactado de la siguiente manera:
“ARTÍCULO SECIMODÉPTIMO: La fiscalización de la sociedad estará a cargo de un síndico titular, designado por asamblea, por el término de un (1) ejercicio. The seventeenth article of the bylaws shall be amended.

“SEVENTEENTH ARTICLE: The supervision of the company shall be under the care of a regular statutory auditor, appointed by a shareholders’ meeting, for one-year term. Source text - English Argentine residents have to repatriate and to exchange into Pesos funds disbursed under financings granted by non-Argentine residents (so called “external financial debt”) as from September 1, 2019, and such repatriation and exchange will be a requirement for the borrower to be able to repay such debts. Prepayment of principal and interest of external financial debt at any time earlier than three (3) business days from the relevant payment date will require the prior approval of the BCRA. Moreover, borrowers will need to disclose the existence and certain terms and conditions of the external financial debts through a certain information regime established by the BCRA (i.e., a system involving the reporting of foreign liabilities and debts by residents) to make any payment.

Derechos de Exportación. La Ley de Emergencia Económica faculta al Poder Ejecutivo a disponer nuevos aumentos de retenciones a las exportaciones –en adición a los ya establecidos– que no superen la alícuota del 33% del valor imponible o del precio oficial FOB.
Para las mercaderías que no estaban gravadas hasta el momento la alícuota no podrá superar el 15%; para los productos agroindustriales de economías regionales y para los bienes industriales y servicios no podrá superar el 5%; mientras que para hidrocarburos y minería la alícuota no puede superar el 8%.
Recordamos que con fecha 14 de diciembre de 2019 se publicó en el Boletín Oficial el Decreto 37/2019 que modifica el Decreto 793/2018 dejando sin efecto el límite de $ 4 por cada dólar estadounidense del valor imponible establecido en el artículo 2 de ese decreto. Asimismo, se sustituyó el Anexo I del artículo 2 del Decreto 793/18 y sus modificaciones, por un nuevo anexo I.

Export rights. The Economic Emergency Law empowers the Executive Branch to provide further increases in withholdings on exports -in addition to those already established- that do not exceed the 33% rate of taxable value or the official FOB price.
For goods that were not taxed so far, the rate may not exceed 15%; for agro-industrial products of regional economies and for industrial goods and services, it may not exceed 5%; while for hydrocarbons and mining the rate cannot exceed 8%.
We recall that on December 14, 2019, Decree 37/2019 that modifies Decree 793/2018 was published in the Official Gazette, leaving the limit of $4 for each US dollar of the taxable value established in section 2 of such decree without effect. Likewise, Annex I of section 2 of Decree 793/18 and its modifications was replaced by a new Annex I.
