Description
A single package powder component mixed with clean, potable water before application. Type 5GPTM is intended for application to interior structural columns, beams, joists, decks, walls, roofs, girders, floors and pre-cast concrete units. It is tested and certified for fire resistance ratings up to 4 hours.

De um lado,
BEACHSIDE VENTURES LIMITED, sociedade devidamente constituída e existente de acordo com as leis das Ilhas Virgens Britânicas e com seu escritório registrado em Vanterpool Plaza, 2nd floor, Wickhams Cay I, Road Town, Tortola, Ilhas Virgens Britânicas , representada neste ato por seu procurador André Kesselring Dias Gonçalves (doravante designada “Beachside”);
E de outro lado,
MELK – COMÉRCIO E SERVIÇOS INTERNACIONAIS LDA, NIPC 511 173 458, com sede na Rua Dr Brito Câmara, número sete, Freguesia da Sé, Concelho do Funchal, Ilha da Madeira, Portugal, matriculada na Conservatória do Registro Comercial da Zona Franca da Madeira, sob o número cinco mil oitocentos e oito , representada neste ato por seu sócio quotista César Roberto Santos Oliveira, ( doravante designada “ Melk “ );
Na qualidade de interveniente anuente, GDK S A, com sede na Cidade de Salvador – BA, na Rua da Grécia, n. 8 – Edifício Serra da Raiz – 7º andar – Comércio, inscrita no CNPJ/MF sob o n. 34.152.199/0001-95, neste ato representada nos termos de seus estatutos sociais por seu procurador Humberto Almeida , ( doravante designada “ GDK “ ) ;
Considerando que aos 28 de setembro de 2009, o BankBoston N/A cedeu sua posição de arrendador e todos os seus direitos, obrigações e responsabilidades, nos termos do Contrato de Arrendamento original da aeronave Learjet, modelo 35 A, ano de fabricação 1987, número de série 627, número de matrícula brasileiro PT LMY à empresa Beachside ,
Considerando que a empresa Melk deseja assumir posição de arrendadora , assumindo assim todos os direitos , obrigações e responsabilidades oriundos do Contrato de Arrendamento acima mencionado, as partes têm entre si justo e acertado, o presente Contrato de Cessão de Direitos, que se regerá pelas seguintes cláusulas e condições:
Cláusula 1ª: A Beachside neste ato cede e transfere à Melk em caráter irrevogável e irretratável, a sua posição de arrendadora bem como todos os seus direitos, obrigações e responsabilidades nesta qualidade do Contrato de Arrendamento original da aeronave Learjet, modelo 35 A, ano de fabricação 1987, número de série 627, número de matrícula brasileiro PT LMY, e a Melk neste ato aceita em caráter irrevogável, incondicional e absoluto, a referida cessão . A titularidade da Beachside sobre a Aeronave será transferida à Melk mediante uma Nota de Venda a ser emitida pela Beachside à Melk na data da assinatura do presente contrato.
Cláusula 2ª: A GDK S/A na condição de arrendatária, neste ato, declara expressamente sua ciência e anuência em relação à presente cessão de direitos.
Cláusula 3ª: Este Contrato será expresso nos idiomas inglês e português (principalmente o idioma português) e será regido e interpretado de acordo com as leis da República de Portugal.
Cláusula 4ª . As partes signatárias deste instrumento assumem o compromisso de confidencialidade quanto às informações nele veiculadas pelo prazo de 10 anos, a contar da data de sua assinatura.
Cláusula 5ª. As partes acordam que qualquer conflito, reclamação ou controvérsia relativa a resolução, interpretação, execução ou incumprimento do presente contrato será dirimida com recurso a arbitragem a ter lugar em Paris - França (salvo acordo diverso pelas partes), conforme os princípios, regulamentos e regras da Corte de Arbitragem da Câmara de Comércio Internacional (CCI) sediada em Paris. As despesas de arbitragem serão adiantadas pelas partes na proporção de metade para cada, facultando-se a uma das partes adiantar a totalidade das despesas, caso haja demora nessa obrigação da outra parte.
5.1. O Tribunal arbitral deverá ser constituído por três árbitros, sendo dois deles nomeados por cada uma das partes em litígio e um terceiro nomeado pelos árbitros apontados pelas partes.
5.2. Os árbitros deverão ser escolhidos entre Professores de Direito e versados em direito internacional, com créditos internacionalmente reconhecidos.
5.3. Os árbitros decidirão as questões submetidas conforme as regras e princípios contratuais ora estabelecidos, guardando a intenção das partes, a praxe e regras do comércio internacional aplicáveis ao caso concreto.
5.4. A parte que resistir em cumprir a decisão arbitral, em pagar as despesas da arbitragem, apresentar resistência ao andamento do procedimento arbitral ou à sua instalação, incorrerá numa multa diária de US$ 10,000.00 (dez mil dólares norte americanos) até que cesse a resistência. Essa multa será dobrada a cada quinze dias.
5.5. A decisão arbitral é final e vinculativa para ambas as partes e deverá fixar o pagamento de custas e acarretará o pagamento ou reembolso dos honorários dos árbitros para a parte perdedora.
5.6 Essa cláusula tem natureza compromissória e dispensa a assinatura do termo respectivo, podendo , por força dela , qualquer das partes dar início imediato à arbitragem mediante prévia e expressa notificação de trinta dias para dar início ao procedimento.

On the other hand,
MELK – COMÉRCIO E SERVIÇOS INTERNACIONAIS LDA, NIPC 511 173 458, having offices at Rua Dr Brito Câmara, número sete, Freguesia da Sé, Concelho do Funchal, Ilha da Madeira, Portugal, registered at the Conservatória do Registro Comercial da Zona Franca da Madeira, under the number 5808, represented in this act by their partner and shareholder César Roberto Santos Oliveira, (hereinafter denominated “Melk “ );
As concurring endorser, GDK S A, having headquarters in the city of Salvador – BA, at Rua da Grécia, no. 8 – Edifício Serra da Raiz – 7º andar – Comércio, registered at the CNPJ/MF under the no. 34.152.199/0001-95, in this act represented in accordance with the terms of the statutes of incorporation, by their attorney Humberto Teixeira de Almeida , ( hereinafter denominated “ GDK “ ) ;
Considering that on the 28th day of September of 2009, BankBoston N/A ceded their position as leaser and all rights, obligations and responsibilities under the terms of the original Contract for the leasing of the aircraft Learjet, model 35 A, manufactured in 1987, serial number 627, Brazilian registration number PT LMY to the company Beachside ,
Considering that the company Melk wishes to take upon itself the position of leaser, thus assuming all rights, obligations and responsibilities resulting from the aforementioned Contract for the leasing of said aircraft, the parties have as agreed and just between themselves the present Contract for the Cession of Rights, which is governed by the following clauses and conditions:
First Clause: Beachside by this act does irrevocably and irremissibly cede and transfer to Melk its position as leaser as well as all rights, obligations and responsibilities under the terms of the original Contract for the leasing of the aircraft Learjet, model 35 A, manufactured in 1987, serial number 627, Brazilian registration number PT LMY, and Melk by this act accepts irrevocably, unconditionally and absolutely said cession. The title to the aircraft held by Beachside shall be transferred to Melk by way of a Bill of Sale to be issued by Beachside to Melk on the day of the signing of the prese4nt contract.
Second Clause: GDK S/A in the condition of lessee, by this act does expressly declare awareness and assent in relation to the present cession of rights.
Third Clause: This Contract shall be expressed in the English language and the Portuguese language (principally the Portuguese language) and shall be governed and interpreted in accordance with the laws of the Republic of Portugal.
Fourth Clause: The parties signatories to this instrument accept a confidentiality commitment concerning the information herein for the term of ten years from the day of signing the present instrument.
Fifth Clause: the parties agree that any conflict, complaint or controversy relative to the resolution, interpretation, execution or non-compliance of the present contract shall be settled by appeal to arbitration to take place in Paris - France (except by common accord of the parties), in accordance with the principles, regulations and rules of the Court of Arbitration of the International Chamber of Commerce (CCI) in Paris. The costs of arbitration shall be provided by the parties in advance to the proportion of a half each, in the case of a delay by one of the parties in this obligation, the other party shall be allowed to advance the total cost.
5.1. The court of arbitration should be consist of three arbiters, two of them being nominated by each one of the parties in litigation and the third arbiter nominated by those arbiters appointed by the parties.
5.2. The arbiters should be chosen from the ranks of law professors and experts in international law with internationally renowned reputations.
5.3. The arbiters shall decide the issues submitted in accordance with the rules and contractual principles established herein, considering the intentions of the parties, the praxis and rules of international commerce applicable to the case at hand.
5.4. The party that resists in complying with the arbiters decision, in paying the costs of arbitration, that hinders the arbitral procedure or its formation, shall incur a daily fine of US$ 10,000.00 (ten thousand American dollars) until the resistance ceases. This fine shall be doubled every fifteen days.
5.5 The arbitral decision is final and binding on both parties and should establish the payment of costs and the payment or reimbursement of arbiters’ fees by the party at fault.
5.6 This clause is of an obligatory nature and dispenses the signing of the respective term, enabling, by its own force, any one of the parties to immediately initiate arbitration by way of prior, express notification of thirty days to start the procedure.
