Source text - English 12. Publication Format
SERVICE PROVIDER shall publish the WORK in paperback, hardcover, audiobook, and/or e-book editions (as and if selected by AUTHOR as part of the SERVICES). SERVICE PROVIDER shall follow AUTHOR’S suggestions for the interior design of the WORK where practicable provided AUTHOR complies with SERVICE PROVIDER’S interior design guidelines, and shall follow AUTHOR'S suggestions for the custom-designed cover of the WORK provided AUTHOR complies with SERVICE PROVIDER’S | cover design guidelines.
| In all other respects SERVICE PROVIDER shall determine the details of publication, including the appearance (including on-line presentation), price, production and manufacturing of the WORK. SERVICE PROVIDER will retain final discretion over style and formatting of the WORK and its cover. SERVICE PROVIDER also reserves the right to introduce additional versions of the WORK. SERVICE PROVIDER has the exclusive right to determine whether or not to utilize digital rights management (DRM) technology. AUTHOR acknowledges that AUTHOR may not utilize the formatted WORK, International Standard Book Number (ISBN), and cover with any other SERVICE PROVIDER at any time during the term of this Agreement, unless otherwise agreed to in writing by SERVICE PROVIDER. As the WORK can be available in multiple formats, SERVICE PROVIDER reserves the right to terminate and recommence individual ISBN’s of the WORK in each different format selected by AUTHOR.
3.1. The Company shall conduct the operations indicated in the Articles 1.5 and 1.6 of this Charter as set forth in Mongolian legislation.
3.2. As indicated in the Accounting Law, Auditing Law and Article 96 the Company Law, the Company shall maintain accounting book and prepare financial report.
3.3. According to the Mongolian Tax Law, the Company shall independently determine its income and tax and voluntarily pay its official tax.
3.4. In accordance with Mongolian legislation, the Company shall prepare necessary information and data to the relevant authorities.
3.5. Concerning its contractual employees, the Company shall fulfill its obligations provided by the Law.
3.6. The Company is obliged to issue common shares and may issue preferred shares.
3.7. The documents indicated by the Article 97 of the Company Law shall be maintained; maintained permanently; presented upon the request of the shareholders and transferred to the archives by the Company.
Translation - English 1.5. The Company may engage in following activities. Special license activities shall not be set forth in this Article.

1.6. The Company is subject to obtain the necessary licenses for the activities that may require licenses within the parameters set forth in the Law from the relevant authority and shall incorporate amendments into this Charter and have it registered by the Registry Office.
1.7. The Company’s operational period: The Company shall operate for indetermined time period.
1.8. The Company may have its own branch and representative office in Mongolia or other country. As indicated in the Article 7 of Company Law, it may establish its branch and representative office and have it registered by the Registry Office and conduct its operations.
1.9. In case the Company has amendments incorporated into its founding documents or information included in the state registration list, it shall have it registered at the Registry Office within the legal timeframe indicated by the Law.
Two. Company Rights
2.1. The Company’s legal competency shall be established upon the registration by the state registration.
2.2. The Company shall have its emblem; official letterhead and trademark.
2.3. As set forth in the Articles 6.1-6.8 of Company Law, the Company may establish subsidiary or associate company and shall have it registered by the Registry Office.
2.4. In cooperation with or independently, the Company shall conduct activities within the framework of Mongolian legislation.
2.5. For the purposes of carrying out main or auxiliary activities, the Company shall employ professional, skilled and experieinces people for contracts and their working condition, salary and renumeration shall be determined.
Three. Obligations of the Company
3.1. The Company shall conduct the operations indicated in the Articles 1.5 and 1.6 of this Charter as set forth in Mongolian legislation.
3.2. As indicated in the Accounting Law, Auditing Law and Article 96 the Company Law, the Company shall maintain accounting book and prepare financial report.

3.7. Amendments incorporated into the Company’s Charter or renewed Charter shall come into force upon the registration by the State registration.
3.8. Upon integrating and dividing the shares, the Company shall be obliged to provide necessary modifications in the composition of the share acquisition certificate or securities to which the shares are converted into.

3.10. Following the requirements of the shareholders, the Company shall present the Company’s Charter and amendments incorporated into it.
3.11. Concerning the shareholder which has not received its dividends, the dividends shall be specifically recorded as debt to the shareholder on the accounting book under his/her name.
3.12. In case the shareholder proposes to sell his/her shares, he/she shall notify his proposition to the Company and the Company shall notify other shareholders about this.
3.13. The documents indicated by the Article 97 of the Company Law shall be maintained; maintained permanently; presented upon the request of the shareholders and transferred to the archives by the Company.
