Source text - English 4. Covenants of the Purchaser
4.1 Notification to Borrowers
The Purchaser shall, within 60 Business Days after the Assignment Date, send the Loan Assignment Notices to the relevant Borrowers by means of registered letter with acknowledgement of receipt. All costs associated with such notification shall be borne by the Purchaser.
4.2 Replacement of plaintiff in, or re-activation of, Court Proceedings
As soon as reasonably practicable following the Assignment Date, but in any event not more than 6 (six) months after the date hereof, the Purchaser shall use all reasonable efforts to substitute the relevant Seller in the Court Proceedings (incidente de habilitagao) by requesting the judge to admit the substitution of the relevant Seller in the relevant lawsuits pursuant to article 271 of the Portuguese Civil Procedure Code, with respect to
which the relevant Seller shall cooperate as reasonably required by the Purchaser, unless
the Purchaser reasonably considers that such substitution would be legally challenged, uneconomical or would significantly delay collection recoveries in respect of the Assigned Rights. Following the substitution of the relevant Seller by the Purchaser in any Court Proceedings, the Purchaser may, in its discretion, either continue to enforce or cease the enforcement of the Assigned Rights in the Court Proceedings previously initiated by the relevant Originator and/or an Intermediate Seller and/or the relevant Seller. Any costs or
expenses incurred in the process of substitution of the relevant Seller by the Purchaser in the Court Proceedings are the sole responsibility of the Purchaser.
The Purchaser will compensate the relevant Seller for any reasonable expenses that the relevant Seller incurs as a result of the non-substitution of the relevant Seller by the Purchaser with respect to ongoing Court Proceedings in accordance with this Clause 4.2.
Where, as of the Assignment Date, Court Proceedings are, due to a Seller's omission,
suspended or under the circumstances of Article 51, 2 of the Court Fees Code (Codigo das Custas Judiciais) or Article 29, 3 of The Court Fees Rules (Regufamento das custas processuais), the relevant Seller shall (at such Seller's cost), on request by the Purchaser, re-activate such Court Proceedings, unless such Seller reasonably considers that such reactivation would be uneconomical, unjustified in the circumstances or unreasonable.
Each of the Sellers undertakes:
(i) that if, after the Cut-Off Date, a court grants any asset (including title to property) in relation to the Loans to such Seller, such Seller shall transfer such asset to the Purchaser at the Purchaser's own cost; and
(ii) that if, pursuant to this Clause 4.2, the Purchaser does not substitute the relevant Seller in a Court Proceeding and the Purchaser has not notified the relevant Seller that the Purchaser reasonably considers that such substitution would be legally challenged, uneconomical or would significantly delay collection recoveries in respect of the Assigned Rights:
(8) the relevant Seller shall, if requested to do so by the Purchaser, instruct its attorneys to act on the instructions of the Purchaser from time to time in relation to such Court Proceedings; and
(b) if the Purchaser wishes to appoint new attorneys in relation to such Court Proceedings, the relevant Seller shall either (A) grant a new power of attorney to an attorney designated by the Purchaser, or (B) procure that its attorneys fully delegate their powers to an attorney designated by the Purchaser.
4.3 Administration of the Assets
The Purchaser (or any servicer or other delegate appointed by the Purchaser or any transferee of the Purchaser) shall handle and enforce the Assets as well as administer the same in accordance with all applicable provisions of law and regulations.
4.4 Data Protection
(a) The parties hereby undertake to observe the provisions of applicable Portuguese data protection legislation as well as any other effective or future regulations pertaining to the personal data of the Borrowers.
(b) The Purchaser shall carry out obligations of data controller and other mandatory provisions of law with respect to personal data protection.
(c) On the Assignment Date, each of the Sellers shall transfer to the Purchaser all personal data of the Borrowers in respect of the Assets as required in relation to the assignment of the Assets, either (i) in an unencrypted form or (ii) in encrypted
form together with the means to decode such encryption.
4.5 Assignment Date
The Purchaser shall use its best endeavours to make a notification in accordance with section 18 of the United Kingdom Data Protection Act 1998 as promptly as possible following the date of this Agreement.
5. Covenants of the Sellers
5.1 Delivery of Documents by the Sellers
5.1.1 Each of the Sellers shall procure that the following documents are delivered to the Purchaser or its authorised representatives as promptly as possible, but in any event on or prior to the Assignment Date:
(a) copies of all documentation and agreements (including correspondence and documents in relation to Court Proceedings) that each of them, the Servicer and their respective agents have in their possession relating to the Assets and identifying the Borrowers (including contact details and telephone numbers (if available));
(b) electronic records of each of the Sellers and the Servicer relating to each Asset to be transferred by the Sellers to the Purchaser;
(c) a copy of each Portfolio Purchase Agreement and each agreement, if any, in relation to the transfer of the Loans from the Originator to any
Intermediate Seller prior to the transfer of the Loans to the Sellers pursuant to the relevant Portfolio Purchase Agreement;
(d) any promissory notes or blank bills relating to the Assets; and
(e) a sub-delegation (substabe/ecimento sem reserva) executed by each lawyer or law firm acting on behalf of each of the Sellers in Court
Proceedings in relation to an Asset delegating his/herlits responsibilities in respect of such Court Proceedings to the lawyer or law firm designated by the Purchaser, when applicable.
5.1.2 Each of the Sellers shall use their best endeavours to procure that a letter from the
Servicer addressed to both Sellers and in a form acceptable to the Purchaser is delivered to the Purchaser or its authorised representatives on or prior to the Assignment date which provides:
(a) confirmation by the Servicer that the Servicer does not have and never had legal or beneficial title over the Assets; and
(b) confirmation by the Servicer that all moneys payable under each Loan have always been paid directly into a bank account belonging to the relevant Seller.
5.1.3 The Sellers shall not be obliged to deliver to the Purchaser any documents pertaining to the Assets which are not in the possession of the Sellers or the Servicer or their respective agents as of the date of this Agreement. The Sellers
make no representation as to the completeness of such information.
5.2 Assistance
5.2.1 The Sellers shall cooperate with the Purchaser with a view to perfecting and evidencing the transfer of all Assets and related security, if any. At the Purchaser's request, the Sellers shall:
(a) take (and use their best endeavours to procure that each of the Originator, any Intermediate Seller and the Servicer takes) any actions which may in
the reasonable opinion of the Purchaser be necessary or useful for the purpose of enabling the Purchaser (or any servicer or other delegate
appointed by the Purchaser or any transferee of the Purchaser) to exercise the Purchaser's rights in relation to the Assets and the performance of the
Purchaser's obligations in relation to the Assets and enforcement of the Assets;
(b) take all reasonable actions that may be required by law, courts or appropriate governmental authority in order to evidence and perfect the transfer of the Assets to the Purchaser or (at the Purchaser's expense) the registration of any Encumbrance in favour of the Purchaser;
(c) give notice to any lawyers or notaries acting for the Sellers that any of the documents in relation to the Assets, if any, held by them to the order of the
Sellers are to be held to the order of the Purchaser;
(d) where a Loan has been secured by a promissory note or bill in blank, fill in the promissory note or blank bill in favour of the Purchaser;
and, if either of the Sellers have failed to comply with any such requirement within 20 Business Days of receiving notice thereof, the Purchaser may do any of such acts and things.
5.2.2 Each party shall abstain from taking any actions which may adversely affect the rights of the other party to this Agreement. In particular, the Sellers shall abstain from taking any actions which may adversely affect the Purchaser's rights under the Assets transferred hereunder.
5.2.3 The Sellers shall promptly answer any questions the Purchaser might have with respect to the Assets or the Purchaser's obligations in relation to the Assets.
5.3 Sellers to account for monies
The Sellers shall (and shall procure that the Servicer and its and their respective representatives, agents and affiliates shall), on and following the Assignment Date, pay to (and, prior to such payment, hold on trust for the benefit of) the Purchaser all sums received by it, in cash or in kind, after the Cut-Off Date (which have not been deducted from the payment ofthe Purchase Price, as set out in Clause 10.1), under or in respect of
any of the Assets comprised in the Loan Portfolios, less any reasonable costs and expenses that it may have incurred.
In this Clause 5.3, "received by it, in cash or in kind, after the Cut-Off Date" means received in cleared funds by or on behalf of a Seller and includes sums paid into court which are not held in cleared funds by such Seller prior to the Cut-Off Date. If, after the Cut-Off Date, a court grants any asset (including title to property) in relation to the Loans to a Seller, such Seller shall transfer such asset to the Purchaser less any reasonable
costs and expenses that it may have incurred.
5.4 Sellers to account for correspondence
The Sellers shall (and shall procure that the Servicer and its and their respective representatives, agents and affiliates shall), to the extent applicable, on and following the Assignment Date, promptly deliver to the Purchaser, or such third party nominated by the Purchaser for this purpose, all correspondence received by them under or in respect of any of the Assets.
5.5 Sellers to terminate Servicer's appointment
The Sellers shall, on or before the Assignment Date, terminate the appointment of the
Servicer as servicer in respect of the Assets with effect from the Assignment Date.
5.6 Assignment Date
The Sellers shall use their best endeavours to:
5.6.1 deliver to the Purchaser a comfort letter from Bank of America Corporation substantially in the form agreed between the Sellers and the Purchaser;
5.6.2 meet their obligations under Clause 5.1; and
5.6.3 obtain authorisation from Comissao Nacional de Proteccao de Dados permitting the Sellers to deliver to the Purchaser in unencrypted form all personal data required to be delivered under this Agreement,
in each case as promptly as possible following the date of this Agreement.
Translation - Portuguese 4. Estipulações do Comprador
4.1 Notificação aos Mutuários
O Comprador deverá, nos 60 Dias Úteis seguintes à Data da Cessão, enviar as Notificações de Cessão de Empréstimo aos Mutuários relevantes, por carta registada com aviso de recepção. Todos os custos associados com essa notificação serão suportados pelo Comprador.
4.2 Substituição de autor ou reactivação de Processos Judiciais
Tão cedo quanto for razoavelmente possível, após a Data da Cessão, mas nunca mais de 6 (seis) meses após essa data, o Comprador envidará todos os esforços razoáveis para substituir o Vendedor relevante nos Processos Judiciais (incidente de habilitação), requerendo ao juiz para admitir a substituição do Vendedor relevante nas acções relevantes, nos termos do artigo 271.º do Código de Processo Civil português, devendo o Vendedor relevante colaborar no que lhe for razoavelmente solicitado pelo Comprador, salvo se o Comprador considerar fundamentadamente que essa substituição seria legalmente impugnada, antieconómica ou que atrasaria significativamente as cobranças relativas aos Direitos Cedidos. Após a substituição do Vendedor relevante pelo Comprador em qualquer Processo Judicial, o Comprador pode, por sua opção, continuar a promover ou extinguir a execução dos Direitos Cedidos nos Processos Judiciais previamente intentados pelo Mutuante Originário relevante e/ou pelo Vendedor Intermediário e/ou pelo Vendedor relevante. Quaisquer custos ou despesas incorridas no processo de substituição do Vendedor relevante pelo Comprador nos Processos Judiciais são da exclusiva responsabilidade do Comprador.
O Comprador compensará o Vendedor relevante por todas as despesas razoáveis em que este incorrer como consequência da não substituição do Vendedor relevante pelo Comprador, no âmbito dos Processos Judiciais em curso, nos termos da presente Cláusula 4.2.
Sempre que, a partir da Data da Cessão, os Processos Judiciais forem, devido à omissão de um Vendedor, suspensos ou ocorrer alguma das situações previstas no Artigo 51º, n.º 2 do Código das Custas Judiciais ou no Artigo 29º, n.º 3 do Regulamento das Custas Processuais, o Vendedor relevante, a suas próprias expensas e mediante pedido do Comprador, deverá reactivar os Processos Judiciais, salvo se esse Vendedor fundamentadamente considerar que essa reactivação seria antieconómica, injustificada em face das circunstâncias ou irrazoável.
Cada um dos Vendedores compromete-se a que:
(i) se, após a Data Fixada, um tribunal adjudicar a esse Vendedor qualquer activo (incluindo o direito de propriedade) relacionado com os Empréstimos, esse Vendedor transmitirá esse activo para o Comprador, suportando este o respectivo custo; e
(ii) se, nos termos desta Cláusula 4.2, o Comprador não substituir o Vendedor relevante num Processo Judicial e o Comprador não o tiver notificado de que considera, fundamentadamente, que essa substituição seria legalmente impugnada, antieconómica ou que atrasaria significativamente as cobranças relativas aos Direitos Cedidos:
(a) o Vendedor relevante deverá, quando solicitado para o efeito pelo Comprador, instruir os seus mandatários para actuarem segundo as instruções do Comprador relativas a esses Processos Judiciais; e
(b) se o Comprador quiser nomear novos mandatários no âmbito desses Processos Judiciais, o Vendedor relevante deverá (A) outorgar uma procuração a favor do mandatário designado pelo Comprador, ou (B) diligenciar para que os seus mandatários substabeleçam sem reserva os seus poderes num mandatário designado pelo Comprador.
4.3 Administração dos Activos
O Comprador (ou qualquer gestor de cobranças ou outro delegado nomeado pelo Comprador ou qualquer transmissário do Comprador) irá tratar e executar os Activos, assim como administrá-los, em conformidade com todas as disposições legislativas e regulamentares aplicáveis.
4.4 Protecção de Dados
(a) As partes comprometem-se a observar as disposições da legislação portuguesa aplicável sobre protecção de dados, assim como quaisquer outras regulamentações, presentes ou futuras, relativas aos dados pessoais dos Mutuários.
(b) O Comprador cumprirá as obrigações de controlador de dados e outras disposições legislativas obrigatórias relativas à protecção de dados pessoais.
(c) Na Data da Cessão cada um dos Vendedores transferirá para o Comprador todos os dados pessoais dos Mutuários relacionados com os Activos, conforme o que for necessário para a cessão dos Activos, ou (i) de forma não encriptada ou (ii) de forma encriptada acompanhada pelos meios necessários para descodificar essa encriptação.
4.5 Data da Cessão
O Comprador envidará os seus melhores esforços para efectuar uma notificação nos termos previstos na secção 18 da Lei sobre Protecção de Dados do Reino Unido, de 1998, o mais rapidamente possível após a data do presente Contrato.
5. Estipulações dos Vendedores
5.1 Entrega de Documentos pelos Vendedores
5.1.1 Cada um dos Vendedores diligenciará para que os seguintes documentos sejam entregues ao Comprador ou aos seus representantes autorizados o mais rapidamente possível, mas nunca depois da Data da Cessão:
(a) cópias de toda a documentação e contratos (incluindo correspondência e documentos relativos a Processos Judiciais) que cada um deles, o Gestor de Cobranças e os respectivos agentes tiverem na sua posse, relacionados com os Activos e que identifiquem os Mutuários (incluindo informações de contacto e números de telefone (quando disponíveis));
(b) registos electrónicos de cada um dos Vendedores e do Gestor de Cobranças relacionados com cada Activo a transmitir pelos Vendedores para o Comprador;
(c) uma cópia de todos os Contratos de Aquisição de Carteira e de todos os contratos, se existirem, relativos à transmissão dos Empréstimos do Mutuante Originário para qualquer Vendedor Intermediário antes da transmissão dos Empréstimos para os Vendedores, nos termos do Contrato de Aquisição de Carteira relevante;
(d) quaisquer livranças e letras em branco relativas aos Activos; e
(e) um substabelecimento sem reserva efectuado por todos os advogados ou sociedades de advogados que representem cada um dos Vendedores em Processos Judiciais relativos a um Activo, delegando as suas responsabilidades relativas a esses Processos Judiciais no advogado ou sociedade de advogados designada pelos Comprador, quando aplicável.
5.1.2 Cada um dos Vendedores envidará os seus melhores esforços para que, até à Data da Cessão, seja entregue ao Comprador ou aos seus representantes autorizados uma carta do Gestor de Cobranças dirigida a ambos os Vendedores, numa forma aceitável para o Comprador, na qual se contenha:
(a) confirmação pelo Gestor de Cobranças de que não tem nem nunca teve qualquer direito ou interesse sobre os Activos; e
(b) confirmação pelo Gestor de Cobranças de que todas as quantias a pagar por cada Empréstimo foram sempre pagas directamente para uma conta bancária pertencente ao Vendedor relevante.
5.1.3 Os Vendedores não estarão obrigados a entregar ao Comprador quaisquer documentos referentes aos Activos que não se encontrem na posse dos Vendedores ou do Gestor de Cobranças ou dos respectivos agentes na data do presente Contrato. Os Vendedores não se comprometem quanto à integralidade dessa informação.
5.2 Assistência
5.2.1 Os vendedores colaborarão com o Comprador de modo a concluir e a comprovar a transmissão de todos os Activos e garantias associadas, se existirem. Mediante pedido do Comprador, os Vendedores:
(a) praticarão (e envidarão os seus melhores esforços para que o Mutuante Originário, qualquer Vendedor Intermediário e o Gestor de Cobranças pratiquem) todos os actos que, na opinião fundamentada do Comprador, possam ser necessárias ou úteis para que este (ou qualquer gestor de cobranças ou outro delegado nomeado pelo Comprador ou qualquer transmissário do Comprador) exerça os direitos de Comprador relativamente aos Activos e cumpra as obrigações de Comprador em relação aos Activos e a execução dos activos.
(b) praticarão todos os actos razoáveis que possam ser exigidos por lei, pelos tribunais ou pela autoridade governamental competente para fazer prova e completar a transmissão dos Activos para o Comprador ou (a expensas do Comprador) o registo de quaisquer Ónus a favor do Comprador.
(c) dar conhecimento aos advogados ou notários que trabalhem para os Vendedores de que quaisquer documentos relativos aos Activos, se existirem, que estejam na sua posse à ordem dos Vendedores devem ficar à ordem do Comprador;
(d) quando um empréstimo estiver garantido por uma livrança ou letra em branco, endossar a livrança ou a letra em branco a favor do Comprador;
e, se algum dos Vendedores não tiver cumprido algum destes requisitos no prazo de 20 Dias Úteis após ter sido notificado para o efeito, o Comprador pode praticar qualquer destes actos e iniciativas.
5.2.2 Qualquer das partes deve abster-se de praticar quaisquer actos que possam afectar negativamente os direitos da outra no âmbito do presente Contrato. Em particular, os Vendedores devem abster-se de praticar quaisquer actos que possam afectar negativamente os direitos do Comprador quanto aos Activos que agora se transmitem.
5.2.3 Os Vendedores deverão responder de imediato a quaisquer questões que o Comprador possa colocar a respeito dos Activos ou das obrigações do Comprador em relação aos Activos.
5.3 Responsabilidade dos Vendedores pelos pagamentos
Os Vendedores devem (e diligenciarão para que o Gestor de Cobranças e os respectivos representes, agentes e associados o façam), a partir da Data da Cessão, pagar ao Comprador (e antes desse pagamento manter como crédito a favor do Comprador) todos os valores por eles recebidos, em dinheiro ou em espécie, após a Data Fixada (que não tiverem sido deduzidos do pagamento do Preço de Compra, nos termos consignados na Cláusula 10.1), no âmbito ou em relação a qualquer dos Activos incluídos nas Carteiras de Empréstimos, deduzidos dos custos e despesas razoáveis em que possam ter incorrido.
Nesta Cláusula 5.3, “por eles recebidos, em dinheiro ou em espécie, após a Data Fixada” significa recebidos em fundos disponíveis pelo Vendedor, e em seu nome, e inclui valores pagos em tribunal que não se encontrem disponíveis para esse Vendedor antes da Data Fixada. Se, após a Data Fixada, um tribunal adjudicar a um Vendedor algum activo (incluindo o direito de propriedade) relacionado com os Empréstimos, esse Vendedor deverá transmitir o activo em causa para o Comprador, deduzindo quaisquer custos e despesas razoáveis em que tiver incorrido.
5.4 Responsabilidade dos Vendedores pela correspondência
Os Vendedores devem (e diligenciarão para que o Gestor de Cobranças e os respectivos representes, agentes e associados o façam), na medida do que for aplicável, a partir da Data da Cessão, entregar imediatamente ao Comprador, ou a quem este indicar para esse efeito, toda a correspondência recebida por eles que diga respeito a qualquer dos Activos.
5.5 Cancelamento da nomeação do Gestor de Cobranças pelos Vendedores
Até à Data da Cessão, os Vendedores devem pôr termo à nomeação do Gestor de Cobranças como gestor de cobranças relativamente aos Activos, com efeitos a partir da Data da Cessão.
5.6 Data da Cessão
Os Vendedores envidarão os seus melhores esforços para:
5.6.1 entregar ao Comprador uma carta conforto do Bank of America Corporation, nos termos da minuta acordada entre os Vendedores e o Comprador;
5.6.2 cumprir as suas obrigações nos termos da Cláusula 5.1; e
5.6.3 obter autorização da Comissão Nacional de Protecção de Dados que permita aos Vendedores entregar ao Comprador, de forma não encriptada, todos os dados pessoais que seja necessário entregar nos termos do presente Contrato,
em qualquer caso o mais rapidamente possível após a data do presente Contrato.

An investment in the Subordinated Bonds involves certain risks. Prospective investors should carefully consider the following factors, in addition to the matters set forth elsewhere in this Private Placement Memorandum, prior to investing in the Subordinated Bonds.
The Issuer believes that the factors described below represent the principal risks inherent in investing in the Subordinated Bonds, but the inability of an Issuer to pay interest, principal or other amounts on or in connection with any Subordinated Bond may occur for other reasons and the Issuer does not represent that the statements below regarding the risks of holding any Subordinated Bonds are exhaustive. Prospective investors should also read the detailed information set out elsewhere in this Private Placement Memorandum and reach their own views prior to making any investment decision.
Market Risk: The value of the investment may be adversely affected by fluctuations in the interest rate market resulting form the disclosure of economic, financial and other data. These impacts will not affect the redemption value of the Subordinated Bonds but may affect the price during the life of the issue.
Credit Risk: The investment in bonds issued by financial institutions and non-financial institutions is subject to the risk of credit of the issuer, namely, the risk that the issuer may, at any moment during the life of the bonds, not be able to make payments of interest and/or principal as such payments fall due. The Subordinated Bonds constitute direct, unsecured and subordinated obligations of the Issuer and therefore, in the event of the winding-up or insolvency of the Issuer, repayment of principal and interest on the Subordinated Bonds will be subordinated to the payment of all unsubordinated claims of the other creditors of the Issuer.
Interest Rate Risk: The value of the investment may be adversely affected by alterations in market interest rates. Given the fact that the Subordinated Bonds are indexed to a market interest rate, this risk sums up to the eventual negative impact that results from the broadening of market risk premiums in general or of the Issuer in particular. The longer the period to be maturity of the bonds, the greater this risk.
Risk of Early Redemption: If the Issuer redeems the Subordinated Bonds prior to maturity, an investor in the Subordinated Bonds is exposed to the risk that due to early redemption his investment will have a lower than expected yield. The Issuer might exercise its optional call right if the yield on comparable Subordinated Bonds in the capital market falls which means that the investor may only be able to reinvest the redemption proceeds in notes with a lower yield.
Impact of regulatory changes: The Issuer is subject to financial services laws, regulations, administrative actions and policies in each location where it operates. Changes in supervision and regulation, in particular in Portugal or in Cayman, could materially affect the Issuer's business, the products and services it offers and/or the value of its assets. Future changes in regulation, fiscal or other policies can be unpredictable and are beyond the control of the Issuer.
Non-transferability: There is currently no secondary market for the Subordinated Bonds, and none may develop. The Subordinated Bonds are not expected to be readily marketable. In addition, the Subordinated Bonds are subject to certain transfer restrictions that may further limit their liquidity. The Subordinated Bonds are designed for long-term investors and should not be considered a vehicle for short-term trading purposes. As a result, investors in the Subordinated Bonds must be prepared to bear the risk of holding the Subordinated Bonds until their stated maturity. To the extent that any secondary market exists for the Subordinated Bonds in the future, the price at which the Subordinated Bonds may be sold could be at a discount, which is some cases may be substantial, from the principal amount of the Securities. To the extent any market exists for the Subordinated Bonds in the future, significant delays could occur in the actual sale of the Subordinated Bonds.
Modification and waivers: The conditions of the Subordinated Bonds contain or refer to provisions for calling meetings of Bondholders to consider matters affecting their interests generally. These provisions permit defined majorities to bind all Bondholders including Bondholders who did not attend and vote at the relevant meeting and Bondholders who voted in a manner contrary to the requisite majority.

Risco de Taxa de Juro: O valor do investimento poderá ser afectado de forma adversa por alterações nas taxas de juro do mercado. Risco de amortização antecipada: Se o Emitente amortizar as Obrigações Subordinadas antes do vencimento, um investidor nas Obrigações Subordinadas estará exposto ao risco, devido à amortização antecipada, do seu investimento vir a registar uma taxa de rentabilidade (“yield”) inferior à esperada. O Emitente poderá exercer o seu direito de chamada no caso da “yield” de Obrigações Subordinadas comparáveis no mercado de capitais cair, o que significa que o investidor poderá apenas ser capaz de reinvestir o produto da amortização em obrigações com menor “yield”.

on education and skills
Globalization has intensified international competition between companies and countries in products and services, their design, distribution and cost. As a consequence, it has placed a premium on developing a high-quality labour force. Demand has increased most for professionals, technicians, managerial staff and skilled and educated production workers and office staff able to perform tasks to standards, continuously innovate and improve processes and products through the application of new technologies.
At the same time, new thinking about how people learn is being used to adapt education and training systems and improve the competencies and employability of the workforce. Competence is a broader concept than skill, embracing the abilities of individuals to apply and adapt their knowledge, understanding and skills in a particular occupation and a given working environment. It aims to bridge the gaps between knowledge acquired in formal education and that learnt in work, a long-standing but now ever more acute problem in many countries.
The importance of investing in high-quality education and training systems is confirmed by many studies including by the ILO, UNESCO, the World Bank, the OECD and European Union. The benefits include:
better educated and trained (competent) workers produce and earn more;
education and training improves a person’s employability and labour mobility, and also increases the ability to research and innovate and adapt to changing technologies;
abundant education and skills influence the path of national economic development, attract foreign investment and promote growth;
countries with a greater share of educated and skilled workforces have raised productivity at a higher pace;
education and training generate other significant social benefits – reduced dependence on income support for the unemployed, reduced incidence of crime, improved lawful behaviour and health awareness.

Il 2 febbraio 2009 è stato inaugurato il nuovo stadio di Liévin, appena in tempo per ospitare i Campionati Francesi di atletica indoor, che si sono svolti il 20 e 21 febbraio.
Il progetto di ristrutturazione, curato da Architecture-Studio, ha completamente trasformato lo stadio, collegandolo all’adiacente Centre Régional d’Accueil et de Formation con una passerella coperta in vetro e cemento. Il nuovo edificio vanta ora una superficie complessiva di 30 000 m2, collocandosi perfettamente nel piano di sviluppo di un polo sportivo e culturale.
I colori scelti per il decoro esterno ricordano le stagioni e l’ambiente circostante: durante il giorno lo stadio è verde, durante la notte giallo-arancione. E l’attenzione riservata all’ambiente si è tradotta anche nell’installazione di vasche per la raccolta dell’acqua piovana, di cui il comune potrà servirsi per la pulizia delle strade.
I lavori di rimodernamento hanno consentito di integrare i servizi dedicati agli sportivi e quelli dedicati agli organizzatori di spettacoli ed eventi, migliorando contemporaneamente le strutture destinate all’accoglienza del pubblico: l’allestimento permette infatti di disporre di 4500 posti quando lo stadio è configurato per l’atletica, 6300 nel caso di sport di squadra e 11300 posti in occasione di concerti.
L’atletica è certamente lo sport intorno al quale è stato realizzato il progetto: a Liévin possono essere praticate tutte le discipline indoor.
La nuova pista idraulica permette di scegliere l’inclinazione delle curve, adattandole perfettamente alle norme IAAF, o, in meno di tre minuti, posizionando la pista in piano, sia per le gare di velocità, che per variare gli allenamenti.
La flessibilità di questa soluzione assicura la multidisciplinarità dello stadio, che dispone di un parquet amovibile per le competizioni di basket, pallamano, tennis e futsal.
L’estrema adattabilità d’uso fa dello stadio una vetrina mondiale del dinamismo della regione Nord Pas-de- Calais e della città di Liévin, che potrà ospitare le delegazioni straniere durante i Giochi Olimpici di Londra, offrendo loro la possibilità di allenarsi in una struttura tecnologicamente all’avanguardia.
Jean-Marie Petitpré, Direttore dello Sviluppo e delle Relazioni Pubbliche, ha così commentato per Spazio Mondo l’ultima edizione dei Campionati Francesi di atletica indoor:
“I Campionati Francesi di atletica indoor si sono svolti in buone condizioni. Eravamo impazienti di conoscere le reazioni degli atleti e dei dirigenti, vista l’importanza storica della pista precedente.
Hanno tutti apprezzato molto la nuova pista e avuto ottime reazioni.
L’introduzione dei pistoni idraulici è stata una vera sfida e ne siamo davvero soddisfatti.”

Em 2 de Fevereiro de 2009 foi inaugurado o novo estádio de Liévin, mesmo a tempo de acolher o Campeonato Francês de atletismo indoor, que decorreu entre 20 e 21 de Fevereiro.
O projecto de reestruturação, desenvolvido pelo gabinete Architecture-Studio, transformou completamente o estádio, ligando-o ao adjacente Centre Régional d’Accueil et de Formation com uma passagem coberta em vidro e betão. O novo edifício dispõe agora de uma superfície global de 30 000 m2, colocando-se perfeitamente no nível de desenvolvimento de um pólo desportivo e cultural.
As cores escolhidas para a decoração externa recordam as estações e o ambiente envolvente: durante o dia o estádio é verde, durante a noite amarelo-alaranjado. E a atenção reservada ao ambiente traduz-se também na instalação de recipientes para a recolha de água da chuva, da qual se poderá servir o município para a limpeza de estradas.
Os trabalhos de remodelação permitiram integrar os serviços dedicados aos desportistas e dedicados aos organizadores de espectáculos e de eventos, melhorando simultaneamente a estrutura destinada ao acolhimento do público: a sua disposição permite, de facto, dispor de 4500 lugares quando o estádio é configurado para o atletismo, 6300 no caso de desportos de equipa e 11300 lugares para a realização de concertos.
O atletismo é certamente o desporto à volta do qual foi realizado o projecto: em Liévin podem ser praticadas todas as modalidades indoor.
A nova pista hidráulica permite escolher a inclinação da curva, adaptando-a perfeitamente às normas da IAAF, ou, em menos de três minutos, posicionar a pista no nível plano, seja para a corrida de velocidade, seja para alterar os treinos.
A flexibilidade desta solução assegura a multidisciplinaridade do estádio, que dispõe de um pavimento amovível para as competições de basquetebol, andebol, ténis e futsal.
A imensa versatilidade de uso faz do estádio uma vitrina mundial do dinamismo da região Nord Pas-de-Calais e da cidade de Liévin, que poderá acolher as delegações estrangeiras durante os Jogos Olímpicos de Londres, oferecendo-lhes a possibilidade de treinarem numa estrutura tecnologicamente de vanguarda.
Jean-Marie Petitpré, Director de Desenvolvimento e de Relações Públicas, comentou assim para a Spazio Mondo a última edição dos Campeonatos Franceses de atletismo indoor:
“Os Campeonatos Franceses de atletismo indoor decorreram em boas condições. Estávamos ansiosos para conhecer as reacções dos atletas e dos dirigentes, atendendo à importância histórica da pista anterior.
Todos apreciaram muito a nova pista e obtivemos óptimas reacções.
A introdução dos pistões hidráulicos constituiu um verdadeiro desafio e estamos verdadeiramente satisfeitos com essa opção.”
