French to English: THREE EXTRACTS FROM A DEED CONTAINING THE POWER OF ATTORNEY – PERTAINING TO THE PURCHASE OF AN APARTMENT IN A TOURIST RESIDENCE
Source text - French 1 ) ATTESTER que, conformément aux dispositions de l’article R 261-30 du Code de la Construction et de l’Habitation, le CONSTITUANT a reçu dans le délai légal le projet complet de l’acte contenant vente en état futur d’achèvement à son profit et qu’il en a pris parfaite connaissance, en ce compris des plans et la notice sur les éléments d’équipement qui y sont joints.
PRECISER que le CONSTITUANT sera propriétaire de la quote-part de la propriété du sol attachée aux lots vendus et des constructions existantes à compter du jour de la signature de l’acte authentique et qu’il deviendra propriétaire des ouvrages à venir pour l'achèvement de l'immeuble au fur et à mesure de leur exécution et de leur édification, par voie d'accession.
OBLIGER le CONSTITUANT selon les conditions indiquées au projet d’acte de vente au paiement du prix qui est consenti et accepté moyennant le prix principal ferme et définitif et non révisable, prévu au contrat préliminaire, Taxe à la Valeur Ajoutée incluse de CENT SOIXANTE ET ONZE MILLE QUATRE-VINGT DIX NEUF EUROS (171.099,00 EUR), s'appliquant :
- au prix hors taxe de : CENT QUARANTE TROIS MILLE CINQUANTE NEUF EUROS ET TRENTE SIX CENTS (143.059,36 EUR),
- à la Taxe à la Valeur Ajoutée au taux de 19,60 %, de : VINGT HUIT MILLE TRENTE NEUF EUROS ET SOIXANTE QUATRE CENTS (28.039,64 EUR)
2 ) 4 – Versement du remboursement de la TVA :
Il est précisé que le montant des remboursements à recevoir à ce titre devra être versé en la comptabilité de l’Office notarial dénommé en tête des présentes.
Par suite l’acquéreur donne dès à présent mandat irrévocable au notaire soussigné à l’effet de recevoir le montant du rembourrement de la TVA grevant la présente vente pour le compte de l’acquéreur , en la comptabilité de l’office notarial dénommé « _______________________________», notaire associés, société civile professionnelle titulaire d’un office notarial situé à ______________________________________..
Remboursement de la Taxe sur la Valeur Ajoutée - Avertissements à l’Acquéreur
L’acquéreur déclare être parfaitement informé, savoir :
• de l’obligation pour le propriétaire de consentir une location à une société d’exploitation pour une durée minimale de 9 ans
• sur l’obligation de maintenir l’option d’assujettissement des loyers à la TVA selon les dispositions de l’article 293F du Code Général des Impôts.
• Sur l’obligation d’effectuer le reversement de la Taxe sur la Valeur Ajoutée remboursée en cas d’interruption du contrat initial de location conformément aux dispositions des articles 271 du Code Général des Impôts et 176 de l’annexe II dudit Code.
• des normes relatives au classement des résidences de tourisme, pour que l’imposition à la TVA soit retenue, à savoir que les locaux faisant l’objet d’un contrat de location de neuf ans minimum, doivent être situés dans un même immeuble ou ensemble immobilier classé et qu’ils représentent une capacité d’accueil d’au moins 100 lits (ou en moyenne 25 appartements). Ainsi, tous les appartements de la résidence de tourisme doivent être loués à l’exploitant par un contrat d’au moins neuf ans,
• de l’obligation de maintenir cette exploitation effective jusqu’au commencement de la dix neuvième année suivant celle de l’acquisition ou de l’achèvement, faute de quoi, il sera tenu de procéder au reversement de la Taxe sur la Valeur Ajoutée prévue par les articles 210 et 221 de l’annexe II du Code Général des Impôts dans les conditions de droit commun,
Les dispositions de premier paragraphe de l’article 210.1 du Code Général des impôts sont ici relatées :
3 ) DELAI DE RETRACTATION
Aux termes d’un contrat de réservation , le vendeur et l’acquéreur, sont convenus de la vente du bien objet des présentes sous diverses conditions suspensives.
En vertu des dispositions de l’article L 271-1 du Code de la Construction et de l’Habitation, le bien étant à usage d’habitation et l’acquéreur un non-professionnel de l’immobilier, ce dernier bénéficiait de la faculté de se rétracter.
La notification de l’acte par lettre recommandée avec accusé de réception a été effectuée à l’acquéreur.. Aucune rétractation n’est intervenue de la part de l’acquéreur pendant le délai de sept jours qui lui était imparti à compter du lendemain de la première présentation, ainsi confirmé par le CONSTITUANT.
Translation - English 1 ) TO ATTEST that, in accordance with the dispositions of the article R 261-30 of the ‘Code de la Construction et de l’Habitation’, the CONSTITUANT received within the legal time-frame the entire project of the notarial deed comprising sale in future state of completion for his attention and that it was completely understood, including plans and information on any equipment attached to it.
TO SPECIFY that the CONSTITUANT will be owner of the proportional share of the property of the ground attached to the sold lots and existing constructions as from the day of the signature of the notary deed and that he will become owner of the works to come for completion of the building progressively with their execution and their construction, by way of accession.
TO OBLIGE THE CONSTITUANT in accordance with the conditions indicated in the sale project contract to pay the price which is the agreed firm and fixed price, which has been notified in the preliminary contract. The price is ONE HUNDRED AND SEVENTY ONE THOUSAND AND NINETY NINE EUROS, (171.099,00 EUR) including Value Added Tax. This comprises;
- the price excluding Value Added Tax of: ONE HUNDRED AND FORTY THREE THOUSAND AND FIFTY NINE EUROS AND THIRTY SIX CENTS (143.059,36 EURO)
- and the Value-added tax at the rate of 19,60%, of TWENTY EIGHT THOUSAND AND THIRTY NINE EUROS AND SIXTY FOUR CENTS (28.039,64 EURO)
2 ) 4 – Payment of the refunding of the VAT:
It is specified that the amount of VAT refund to be received shall be paid into the notaire’s office account specified below.
Then the purchaser gives as of now irrevocable power of attorney to the notary undersigned for the purpose of receiving the amount of reimbursement of the VAT accompanying the present sale on behalf of the purchaser, in the accountancy of the notarial office called “_______________________”, notaries associated, titular professional civil company of a notarial office located in ___________________________________.
Refunding of the Value-added tax - Warnings to the Purchaser
The purchaser declares being perfectly informed, as to:
• obligation for the owner to grant a lease to a management company for a minimum time of 9 years
• on the obligation to maintain the option of tax liability of the rents with the VAT according to the article 293F of the ‘Code Général des Impôts’.
• On the obligation to carry out the reimbursement of the Value-added tax refunded in the event of interruption of the initial lease contract in accordance with the articles 271 of the ‘Code Général des Impôts’and 176 of the appendix II of the aforesaid Code.
• Standards relating to the classification of the residences of tourism, so that the VAT is deducted, as the buildings being the subject of a leasing agreement of nine years minimum, must be located in the same building or real estate unit and that they represent a capacity of lodging of at least 100 beds (or average 25 apartments). Thus, all the apartments of the residence of tourism must be leased to a management company by a contract of at least nine years,
• obligation to maintain this operating business effective until the beginning of the nineteenth year following the year of acquisition or completion, otherwise, it will be liable to reimburse the Value-added tax in accordance with articles 210 and 221 of annex II of the ‘Code Général des Impôts’ under the conditions of common right,

3 ) COOLING OFF PERIOD
Under the terms of a reservation contract, the vendor and the purchaser, are agreed on the sale of the property referred to with various suspensive conditions.
Under the terms of the article L 271-1 of the ‘Code de la Construction et de l’Habitation’, the property being used for habitation and the purchaser being not involved in the real estate business, the latter has the ability to withdraw from the sale.
The notification of the deed by registered letter with acknowledgement of receipt was made to the purchaser. The purchaser has not signified he wishes to withdraw from the sale during the seven days deadline which was assigned to him from the day after the first presentation of the deed, thus confirmed by the CONSTITUANT.
French to English: EXTRACT FROM AN EXCLUSIVE SUPPLY CONTRACT (COMMERCIAL)
Source text - French ARTICLE 5 – GARANTIE – RESPONSABILITE CIVILE
Le Distributeur dispose d’un délai de 48 heures à compter de la réception de chaque livraison pour informer le Fournisseur de tout défaut de qualité des produits (pour autant que ces défauts ne soient pas imputables au transport) afin de lui permettre après contrôle et au gré de ce dernier, d’opérer leur remplacement ou de créditer le Distributeur de la valeur correspondante.
Le Fournisseur assumera la pleine et entière responsabilité de toutes les conséquences dommageables pouvant découler de l’usage des produits, a l’exception de celles qui trouveraient leur origine dans une faute du Distributeur ou l’inobservation par le Distributeur des instructions du Fournisseur et de la législation applicable en matière de stockage et de vente des produits.
Si le Distributeur vient à apprendre directement ou indirectement que l’usage de l’un ou de l’autre des produits vendus provoque des dommages matériels ou corporels, il est tenu d’en aviser immédiatement le Fournisseur et de lui communiquer tous renseignements qu’il pourrait recueillir à ce sujet.
Translation - English ARTICLE 5 – WARRANTY – CIVIL RESPONSIBILITY
The Distributor shall within 48 (forty eight) hours of taking any delivery inform the Supplier of any defects in the quality of the Product/s (provided that these defects are not attributable to their transportation) in order for the Supplier, after investigation, to decide whether it shall replace the said Product/s or credit the Distributor with the corresponding amount.
The Supplier shall hold harmless and indemnify the Distributor for all consequences which might result from use of the Products, except when the defect is attributable to the Distributor’s fault or the defect results from the Distributor not following the Supplier’s instructions or not respecting the legislation applicable to the storage and sale of the Products.
In the event that the Distributor learns directly or indirectly that the use of any sold Product causes material or physical damages, it must immediately inform the Supplier and communicate all information it obtains appertaining to the subject.
