Not really sure about the last part ("要求一份同意事项清单上的事宜需所有董事一致通过方能生效。"). Can I translate it as: "... request for a list of Matters for Consent is valid only with the approval of all directors"? I don't know if I got this part correct. It does not seem to match the front part of the sentence.
