Management agreement
The Management Fee for the first year will be fixed at 170 000 Euros, net of any tax. The fee is to be revised annually and shall be due annually before the end of the 12 month period following the Commencement Date. The Management Fee will be adjusted upwards on each 1st of January (for the first time on 1 January 2012) **by the lower of three per cent (3%)** or [the consumer price index for all households as published by the Belgian financial authorities of Statistics for the twelve (12) months preceding the adjustment date (the “Price Index”)].In the event that the Price Index is negative, the Management Fee shall not be adjusted. If the Price Index is discontinued, the Parties agree to use reasonable efforts to agree on a mutually agreeable index for adjusting the Management Fee.

In other words:
If B is lower than 3% - the adjustment is by the value of B
If B is higher than 3% - the adjustment is by 3%
If B is exactly 3% - the adjustment is by 3% (it does not matter, as A=B)
