Perhaps it is best to read out “Caremark” in the final sentence and replace it with “conscious disregard,” such that, given a strong process, a conscious disregard liability theory is untenable. Similar to Lyondell, In re Lear was an easy conscious disregard decision because there was arguably not even an underlying due care violation. Unlike Lyondell or McPadden, however, the decision explicitly addressed the gross negligence/good faith distinction by recommending “chariness.” Ultimately though, In re Lear proved unhelpful as it gave no indication as to how to actually be “chary.” If, for instance, “chariness” essentially meant that courts should not impose liability under almost any circumstances outside of the Caremark context, then the opinion is hardly different than McPadden.

А если по существу, то скорее всего речь идет о применении компанией XXX уроков бережливости согласно принципам кайзен - и по-англиски это называется Lean Lessons (как верно заметил Roman Galasun)
О чем, собственно, речь – об уроке БЕРЕЖЛИВОСТИ в смысле экономии корпоративных средств или БЕРЕЖНОГО, чуткого ОТНОШЕНИЯ к управленцам и акционерам этой компании, чтобы пощадить их, оградить от неприятностей и проблем. Это из приведенного кусочка непонятно. В первом случае подойдет вариант, предложенный Романом, а во втором нужно искать другое слово, причем глалог. Например, to spare (them).
