3. GOVERNANCE OF THE COMPANY
3.1. The Parties agree that it is in each of their interests that the Company develops its
corporate governance policies and practices and aligns the same with best corporate governance practices. The Parties therefore agree that the Founding Shareholder shall seek an additional investor to become a shareholder in the Company who shall possess longstanding expertise in corporate governance matters (the “CG Investor”) by no later than 31/12/2020 (the “CG Longstop Date”). The role of the CG Investor will be to guide the Company in respect of corporate governance matters and to develop the Company’s internal corporate governance policies and practices and to align them with best practices, providing for detailed regulation of conflicts of interest, shareholder loans, remuneration of directors and executives, risk assessments, internal auditing and the like.
