En primer lugar, porque es ...consideration of the AMOUNTS to be paid...
La segunda pista, para mí, es que es el vendedor (Seller), el que, por los importes que recibirá (...) se compromete a algo más. No veo por qué una contraprestación contractual no pueda incluir varias cosas.
Es como decir, sencillamente, que, a cambio del dinero, dará el producto o servicio y, además, hará tal cosa (lo que se describa a continuación).

Yo lo dejaria asi, como tu dices... es algo como "teniendo en cuenta". He encontrado tambien "considerando detenidamente" pero no se si el detenidamente es necesario en este caso.
