"Otherwise" is always sloppy. I almost hate this word in legal texts. Can yoiu help with this phrase?
I hope so:

"This section shall be deemed not to invalidate any voting or other agreement among members or any irrevocable proxy that is not otherwise illegal".

It's the Articles of associaton of a company. As far as I understand it means: "No seconsiderará que la presente sección invalide ninguna votación u otro acuerdo entre miembros o ninguna representación irrevocable que no sea ilegal por algúnj motivo".

Muchas veces la mejor forma de traducir este término en el ámbito jurídico es la más directa y natural... sin entorpecer el texto...

He visto esta forma de traducir el término en varias ocasiones y personalmente creo que lo más adecuado es adaptar la traducción a cada texto concreto, huyendo del tan manido, y a veces poco natural, "de otro modo". No se resta significado al contenido y se gana en calidad y fluidez.

"Se considerará/Se entenderá que esta sección no invalida ninguna votación, acuerdo entre miembros ni poder/representación irrevocable que no sea ilegal (que no pueda considerarse ilegal)"
