zrzeczenie się/rezygnacja z prawa do zgłaszania roszczeń Explanation: This CHANGE IN CONTROL SEVERANCE AGREEMENT (this “Agreement”) is entered into as of [•], 2019 (the “Effective Date”), by and between SmileDirectClub, Inc. (the “Company”), and [•] (the “Participant”). RECITALS WHEREAS, the Board of Directors of the Company believes it is in the best interests of the Company to enter into this Agreement with the Participant in order to assure continuity of senior management and to reinforce and encourage the Participant’s continued attention and dedication to the Participant’s duties and responsibilities without distraction in the event of the possibility of a Change in Control (as defined below); and WHEREAS, the Company and the Participant desire to enter into this Agreement setting forth the terms and conditions for the payment of compensation to the Participant in the event of a qualifying termination of the Participant’s Continuous Service Status in connection with a Change in Control during the term of this Agreement. NOW, THEREFORE, in consideration of the foregoing premises, the mutual covenants and agreements hereinafter set forth and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties hereto covenant and agree as follows: (r) “Release” means a release of claims against the Company, substantially in the form attached hereto as Exhibit A. Conditions to Severance Payments and Benefits. Notwithstanding anything to the contrary in this Agreement, it shall be a condition to the Participant’s right to receive the payments and benefits provided for in Section 3(b), that the Participant execute and deliver to the Company and not revoke the Release, which Release shall be delivered to the Participant within five (5) days following the Termination Date. The Release must be executed and delivered to the Company (and no longer subject to revocation, if applicable) within sixty (60) days following the Termination Date (the “Release Period”). Certain Payment Delays. Notwithstanding anything to the contrary in this Agreement, the severance amounts described in Sections 3(b)(i) and (ii) shall be paid on the first regularly scheduled payroll date following the date on which the Release becomes irrevocable; provided, that to the extent required to comply with Section 409A, if the Release Period spans two (2) calendar years, such severance amounts shall be paid on the first regularly scheduled payroll date that occurs in the second calendar year. https://www.sec.gov/Archives/edgar/data/1775625/000104746919... Reference: release phase/period/time Reference information: 1. TERMINATION OF EMPLOYMENT AGREEMENT 2. RELEASE FROM WORK The Employee undertakes to return to the Employer by 30 April 2017 any and all company and working material (including credit card, keys, any access and identification cards, computer, copies and electronic versions/copies, notes) as well as anything the Employee has received from the Employer, or from companies connected to the Employer, or from third parties on behalf of the Employer, as well as any work product created by the Employee during the employment relationship. The Employee is entitled to keep and use the mobile phone and the company car pursuant to the Employment Agreement until Termination Date and to return both at the end of the release period in ordinary and proper state. Employee shall take all unused vacation days during the release phase. The Employee agrees that he has no overtime entitlement as of the Termination Date. During the release phase and outside the vacation periods, the Employee will - if requested - support and assist the Employer in the transition and setting up of his successor and the new CEO of the Employer. He will report directly to the CEO of the Employer and duly notify his off-times. Employee is entitled to take up a new position at any time during the release-phase. However, the Employee is obliged to advise the Employer of such new employment without delay.
